1. Acceptance of Terms

By accessing or using the website, services, content, or applications provided by Fintelligent (“Fintelligent,” “we,” “us,” or “our”), you (“you” or “Client”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

2. Services

Fintelligent provides financial services consulting, including virtual accounting, financial analysis, virtual CFO services, and related software tools and applications. Specific services provided to you will be described in a separate engagement letter, statement of work, or service agreement (“Service Agreement”). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement controls.

3. Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of yourself or the business you represent. By using our services, you represent and warrant that you meet these requirements.

4. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information necessary for Fintelligent to perform its services
• Maintain the confidentiality of any account credentials provided to you
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or unauthorized purpose

5. Fees and Payment

Fees for services are set forth in the applicable Service Agreement. Unless otherwise specified, invoices are due within thirty (30) days of issuance. Late payments may incur interest charges and may result in suspension of services.

6. Intellectual Property

All content, software, methodologies, frameworks, templates, and materials developed or provided by Fintelligent remain the exclusive property of Fintelligent. You are granted a limited, non-exclusive, non-transferable license to use such materials solely in connection with the services provided to you. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Deliverables specifically created for you under a Service Agreement are owned by you upon full payment, except for any underlying Fintelligent intellectual property, methodologies, or pre-existing materials incorporated into such deliverables.

7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of our engagement. Each party will use confidential information only for purposes of performing under the engagement and will protect it with reasonable care.

8. Third-Party Services and Integrations

Our services may integrate with third-party platforms, including but not limited to QuickBooks Online, Google Workspace, and other software providers. Your use of those third-party services is subject to their own terms and policies. Fintelligent is not responsible for the availability, accuracy, or performance of third-party services.

9. Software and Applications

Fintelligent may provide access to proprietary software applications, including but not limited to internal tools, client-facing platforms, and integrations with accounting systems. Use of such software is provided on an “as is” basis and may be subject to additional terms presented within the application.

10. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FINTELLIGENT DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Fintelligent provides accounting, financial analysis, and advisory services. We do not provide legal advice, tax filing services, audit attestation services, or investment advisory services unless explicitly agreed in a separate Service Agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTELLIGENT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICES PROVIDED SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FINTELLIGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FINTELLIGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Fintelligent, its officers, employees, and contractors from any claims, damages, losses, or expenses arising from your breach of these Terms, your misuse of our services, or your violation of applicable laws.

13. Termination

Either party may terminate a Service Agreement in accordance with its terms. Upon termination, you remain responsible for fees incurred prior to the termination date. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website with a new “Last updated” date. Your continued use of our services after such posting constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved in the state or federal courts located in New Jersey, and you consent to the exclusive jurisdiction of such courts.

16. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Fintelligent and supersede any prior agreements or understandings.
